Terms of Service
Mother of AI Academy

These Terms of Service ("Terms") are a binding legal agreement between you ("you," "your," or "Member") and Miranda & Valdes Collective, LLC, a Florida limited liability company ("MVC," "we," "us," or "our"). MVC owns and operates Mother of AI Academy. These Terms govern your access to and use of:
- the public website at themotherofai.com and related pages (the "Site");
- the membership portal at portal.themotherofai.com (the "Portal");
- Mother of AI Academy memberships, lessons, curriculum, resources, downloads, certificates, office hours, AI Genius 1:1 booking, community channels, email, events, and the annual Mother of AI Summit;
- the "mai" AI assistant, Prompt Enhancer, web-search or web-rendering tools used by mai, Skills Hub, member-submission features, support and Help Center features; and
- any other products, content, tools, features, or services we make available under the Mother of AI brand.
Together, these are the "Services."
PLEASE READ SECTION 16 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL, AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. SECTION 13 DISCLAIMS WARRANTIES. SECTION 14 LIMITS MVC'S LIABILITY.
By using or paying for the Services, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms.
1. Acceptance of These Terms
You accept these Terms when you create an account, purchase a membership or ticket, click or check an acceptance box, access the Portal, attend an event, submit content, or otherwise use any part of the Services. If you do not agree, do not use the Services.
If you accept these Terms for a company or other entity, you represent that you have authority to bind that entity. In that case, "you" includes that entity.
2. Eligibility and U.S.-Only Scope
The Services are intended only for adults in the United States who are at least 18 years old and able to form a binding contract. The Services are not directed to children or to people outside the United States. We do not knowingly allow anyone under 18 to register or use the Services.
You may not use the Services if you are barred from doing so under applicable law, if your account was previously suspended or terminated by us, or if your use would violate these Terms. We may verify eligibility and may suspend or terminate accounts that do not meet these requirements.
The Services are not designed for regulated, emergency, safety-critical, or high-risk uses, including legal, medical, mental-health, tax, investment, financial, employment, credit, insurance, housing, immigration, education-admissions, public-benefit, law-enforcement, or other professional or consequential decisions. You agree not to use the Services as the sole basis for any such decision.
3. The Services
MVC provides an online education, tools, and community membership focused on helping members understand and apply artificial intelligence ("AI") tools in business. Depending on your membership tier and what we make available from time to time, the Services may include:
- self-paced video lessons, written curriculum, exercises, and downloadable resources;
- lesson progress tracking and completion certificates;
- mai, an AI assistant and tutor available in the Portal and, if offered, in community channels;
- the Prompt Enhancer, a tool that improves draft prompts you provide;
- web-search, website-rendering, conversation-history, prompt-history, and curriculum-context tools used to help mai answer certain questions;
- the Skills Hub, including MVC-provided Skills, member-submitted Skills, downloads, and external resource links;
- live or recorded office hours, group calls, workshops, webinars, and community events;
- AI Genius 1:1 sessions booked through a third-party scheduling platform;
- community spaces, including WhatsApp or other messaging groups;
- support and Help Center features; and
- access to the Mother of AI Summit and related events if included in your offer or purchased separately.
We may add, change, suspend, limit, replace, or discontinue any feature, lesson, resource, AI tool, community space, event, or part of the Services at any time. Specific features, session frequency, usage limits, AI credits, resources, office hours, event access, and 1:1 availability depend on your tier, the offer shown at checkout, operational capacity, vendor availability, and these Terms.
Descriptions on the Site or in marketing materials are summaries only. They do not guarantee specific content, features, timing, vendors, outcomes, income, revenue, savings, growth, business success, or continued availability.
Certificates are certificates of completion only. They are not accredited, do not create professional certification, do not provide academic or continuing-education credit, and do not qualify you for any license, job, or regulated activity.
4. Accounts and Security
You may need an account to use the Portal and paid Services. You agree to:
- provide accurate, current, and complete account, profile, and billing information;
- keep your account information updated;
- maintain the confidentiality of your username, password, claim link, reset link, and session access;
- use a strong password and keep your devices secure;
- be responsible for all activity under your account, whether or not authorized by you; and
- notify us promptly at support@themotherofai.com if you suspect unauthorized access, credential compromise, or a security issue.
Accounts and memberships are personal, non-transferable, and may not be shared. You may not sell, lend, sublicense, pool, or allow others to access paid content or community spaces through your account. We may suspend, restrict, or terminate access if we believe your account is being shared, misused, compromised, used in violation of these Terms, or used in a way that creates risk for MVC, our vendors, or other members.
5. Membership, Billing, and Access Term
5.1 Plans and pricing. Membership plans, prices, and included features are shown at checkout or in the applicable offer. Prices are in U.S. dollars unless stated otherwise. Academy membership is sold as a one-time payment that grants access for a fixed term of one hundred twenty (120) days from the date of purchase (the "Access Term"). The price and terms shown at checkout apply to your purchase. We may change pricing, plans, and features prospectively; changes do not affect a membership you have already purchased.
5.2 Payment authorization. When you purchase a membership or paid Service, you authorize MVC and our payment processor, Stripe, to charge your selected payment method for the fees, upgrades, taxes, and charges disclosed to you at checkout. Academy membership is a single, one-time charge — there are no recurring or automatic-renewal charges. You represent that you are authorized to use the payment method. Stripe processes payment information under its own terms and privacy policy. MVC does not store full card numbers.
5.3 Access term and expiration. Academy membership grants access for a single 120-day Access Term that begins when Stripe confirms your payment and runs for 120 consecutive days. Your access-end date is shown in your purchase receipt and in the Portal. Your access does not automatically renew. At the end of the Access Term, your access and member benefits end — including lessons, AI features, hosted resources, certificate downloads, community spaces, office hours, and booking privileges — and no further charges are made. Materials you downloaded before expiration remain subject to the license and intellectual-property terms in these Terms. To regain access after expiration, you may purchase a new membership at the then-current price, if available.
5.4 Expiration notice. We may send an email reminder before your Access Term ends, identifying the membership and the access-end date. Because membership does not auto-renew, no action is required on your part to avoid a renewal charge. Failure to send or receive a reminder does not extend the Access Term.
5.5 No cancellation required; how access ends. Because membership is a one-time purchase with no automatic renewal, there is no subscription to cancel to prevent future charges. Your access ends automatically at the end of the Access Term. Refund eligibility is governed by Section 6.
5.6 Failed payments, chargebacks, and access. If a payment fails or is reversed, we or Stripe may decline to grant access, ask you to complete payment, or suspend or terminate access. If you file a chargeback or payment dispute, we may suspend access while the dispute is pending and may terminate access if we reasonably believe the dispute is improper or creates risk.
5.7 Taxes. You are responsible for sales, use, VAT, GST, and similar taxes, except taxes on MVC's net income. Applicable taxes, if any, are shown at checkout before you authorize payment. Taxes may be charged by Stripe or us where applicable.
6. 30-Day Money-Back Guarantee and Refunds
6.1 Academy membership guarantee. If you decide the Academy is not for you, you may request a full refund of your Academy membership purchase within thirty (30) days by emailing support@themotherofai.com from the email associated with your account; please include your purchase receipt or transaction date. The 30-day period begins on the date you purchase your membership. For memberships purchased before the Academy's June 1, 2026 public launch, the 30-day period begins on June 1, 2026. This guarantee is limited to one Academy membership refund per person or household; repeated purchase-and-refund activity may be declined as abuse of the guarantee. We will submit approved refunds to your original payment method via Stripe (your card issuer or bank controls when funds post). When a refund is approved, your membership and all Portal access and member benefits end immediately.
6.2 No other refunds. Except for the 30-day membership guarantee in Section 6.1, a specific written refund term shown at purchase, or a non-waivable right under applicable law, all fees are non-refundable. This includes unused Access Term time, non-use, missed sessions, vendor outages, member scheduling conflicts, event tickets, workshops, third-party costs, non-Academy one-time products, or termination for your breach.
6.3 Events and other one-time purchases. Summit tickets, event tickets, live event fees, workshops, and third-party costs are governed by the specific terms shown at purchase and may be non-refundable, even within 30 days. For clarity, your Academy membership purchase is covered by the 30-day money-back guarantee in Section 6.1, notwithstanding that it is a one-time payment.
6.4 Sole refund remedy. The refund rights in this Section are your sole refund remedy unless applicable law requires otherwise.
7. Third-Party Tools, Platforms, and Costs
The Services teach and may interoperate with third-party tools and platforms. Third-party tools may include Stripe, Anthropic/Claude, Cal.com, WhatsApp/Meta, Zoom, Luma or other event platforms, Notion, Mux, PostHog, Sentry, Resend, Vercel, Neon/Postgres, Vercel Blob, Cloudflare Browser Rendering, public websites rendered or searched for mai, and external AI, automation, productivity, business, or software tools you choose to use.
Third-party tools are not owned or controlled by MVC unless expressly stated. They may require separate accounts, subscriptions, fees, data sharing, terms, privacy policies, usage limits, and availability. Your membership does not include paid subscriptions to third-party AI tools or software unless a specific offer expressly says so.
We are not responsible for third-party tools, platforms, vendors, community channels, payment systems, scheduling systems, video platforms, storage providers, analytics providers, websites, AI providers, or their availability, pricing, output, moderation, security, support, terms, data practices, decisions, account actions, suspensions, bans, outages, losses, or changes. References to third-party tools are for educational purposes and are not endorsements, warranties, or guarantees.
8. AI Features, AI Output, and Generated Content
8.1 What AI features do. mai and the Prompt Enhancer are automated AI features powered by third-party model providers, currently Anthropic's Claude. mai may hold an ongoing conversation, use information from your profile and lesson progress, use memories distilled from prior conversations, search or render allowed web pages, search your prior mai conversations or Prompt Enhancer sessions, and draw on Academy materials. The Prompt Enhancer takes a draft prompt and limited context, may ask clarifying questions, and returns an improved prompt.
8.2 AI output can be wrong. AI output may be inaccurate, incomplete, biased, offensive, unsafe, non-compliant, out of date, or otherwise wrong. AI systems can hallucinate facts, citations, laws, prices, dates, links, and instructions. Web-search or website-rendering tools can also return incomplete, stale, unavailable, or incorrect information.
8.3 No professional advice. AI output and all Academy content are for general informational and educational purposes only. They are not legal, financial, tax, accounting, investment, medical, mental-health, parenting, employment, regulatory, safety, insurance, immigration, or other professional advice. Using the Services does not create an attorney-client, physician-patient, therapist-client, accountant-client, fiduciary, advisory, employment, agency, or other professional relationship.
8.4 You must verify. You are solely responsible for reviewing, testing, editing, verifying, and validating all AI output, prompts, Skills, templates, strategies, lesson content, and third-party-tool instructions before relying on them or using them in your business or personal life. You should consult qualified professionals for advice specific to your situation.
8.5 Inputs sent to AI providers. When you use AI features, your messages, prompts, files or text you provide, conversation context, profile and business context, lesson progress, memories, prompt history, search requests, and other relevant context may be sent to third-party AI providers and related tooling, as described in our Privacy Policy. Do not submit regulated data, confidential third-party information, trade secrets, client data, health information, financial-account information, government IDs, minors' data, or anything you are not authorized to share.
8.6 AI output rights and limitations. As between you and MVC, you may use AI output generated for you through the Services for your own personal use and internal business purposes, subject to these Terms, applicable law, third-party provider terms, and any restrictions shown in the Services. MVC does not represent or warrant that AI output is original, protectable, non-infringing, confidential, exclusive to you, accurate, lawful, safe, suitable for commercial use, or free from third-party rights. Other users may receive similar or identical output.
8.7 Shared knowledge and moderation. MVC may use AI conversations and AI-assisted workflows to create or moderate generalized, de-identified knowledge, support materials, product improvements, and curriculum improvements. We do not guarantee that any automated filter, scanner, moderation process, memory system, or de-identification process is perfect.
8.8 Usage limits and safety controls. AI features may have message caps, rate limits, model limits, file limits, safety filters, web-search domain limits, and other controls. We may throttle, suspend, disable, or change AI features at any time to manage costs, comply with provider terms, prevent abuse, protect users, or protect the Services.
9. Acceptable Use
You agree not to, and not to allow anyone else to:
- violate any law, regulation, third-party right, platform rule, or these Terms;
- use the Services for unlawful, harmful, fraudulent, deceptive, abusive, infringing, harassing, hateful, exploitative, sexually explicit, violent, or discriminatory activity;
- use the Services to make regulated, high-risk, or consequential decisions without qualified human review;
- submit malware, spyware, malicious code, credential-stealing content, prompt-injection content, or unsafe automations;
- attempt to bypass safety controls, access controls, payment controls, rate limits, AI restrictions, membership gates, or security measures;
- scrape, crawl, data-mine, index, benchmark, stress test, or use bots or automated systems to access the Services without our written permission;
- reverse engineer, decompile, copy, extract, or attempt to discover source code, model prompts, system prompts, non-public workflows, security controls, or underlying infrastructure;
- use the Services, content, prompts, Skills, AI output, or data to build, train, fine-tune, improve, or benchmark a competing product, AI model, dataset, or service;
- copy, record, redistribute, resell, sublicense, publicly post, or share paid content, videos, lessons, prompts, Skills, downloads, community content, Zoom links, office-hours links, or private materials outside the Services;
- share your account or allow unauthorized access to paid materials;
- impersonate someone else or misrepresent your affiliation, identity, business, credentials, or authority;
- harass, threaten, defame, intimidate, dox, spam, or harm members, speakers, staff, contractors, guests, or vendors; or
- interfere with, disrupt, overload, or harm the Services or related systems.
We may investigate suspected violations and may remove content, reject submissions, limit features, suspend or terminate accounts, notify affected parties, report activity to providers or authorities, and take other action we consider appropriate.
10. Member Content, Uploads, and Skills Hub
10.1 Your content. The Services may allow you to submit, post, upload, transmit, or share profile information, business information, prompts, AI messages, files, images, avatars, support tickets, comments, questions, community posts, Skill submissions, external links, notes, and other content ("Member Content"). You retain ownership of your Member Content, subject to the licenses you grant below.
10.2 License to MVC. You grant MVC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, scan, analyze, format, modify for display, publish, display, distribute, transmit, create derivative works from, and otherwise use your Member Content as needed to operate, provide, secure, support, moderate, improve, and promote the Services. For content you post in shared or community areas, you also grant other members a license to view and use that content within the Services.
We will not publicly use your private uploads, private AI conversations, one-to-one support communications, or private profile information as testimonials, case studies, advertising, or promotional endorsements without your separate consent. Content you voluntarily post in community spaces, public event chats, or shared member areas may be visible to others and may be referenced, preserved, or moderated as part of the Services.
10.3 Your responsibility. You are solely responsible for your Member Content. You represent and warrant that you own or have all rights and permissions necessary to submit it, grant these licenses, and allow us to process it, and that your Member Content does not violate law, infringe rights, contain malware, breach confidentiality obligations, include unauthorized personal information, or create risk for MVC or others.
10.4 Skills Hub submissions. Skill submissions are member content. We may run automated file validation, duplicate detection, security scanning, prompt-injection checks, and manual review before publication. Scanning and review are limited safeguards only; they are not a warranty that a Skill is safe, complete, lawful, non-infringing, effective, or free of harmful content. We may approve, reject, edit metadata, request changes, unpublish, remove, or disable any Skill or submission at any time. Approval does not mean MVC endorses, guarantees, or fully vets the Skill.
10.5 Downloads and member resources. Skills, templates, downloads, prompts, PDFs, certificates, lesson resources, and external links are provided for education. You use them at your own risk. You are responsible for checking files, prompts, instructions, and automations before use.
10.6 Monitoring and removal. We are not obligated to monitor Member Content, but we may review, preserve, remove, disable, restrict, or disclose Member Content as needed to operate the Services, enforce these Terms, respond to legal process, protect rights and safety, or comply with law.
10.7 Copyright complaints. If you believe content on the Services infringes your copyright, email support@themotherofai.com with a description of the copyrighted work, the allegedly infringing material, your contact information, and a statement that you are authorized to act. We may remove or disable content we believe may be infringing and may terminate repeat infringers where appropriate.
11. MVC Intellectual Property and Your License
11.1 MVC ownership. The Services and all MVC-provided content, curriculum, videos, lessons, text, graphics, prompts, Skills, templates, software, designs, code, systems, workflows, AI assistant configuration, brand elements, logos, and other materials are owned by MVC or its licensors and protected by intellectual-property and other laws. The "Mother of AI" name and brand are owned by MVC.
11.2 Limited license. Subject to your compliance with these Terms and payment of applicable fees, MVC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and MVC-provided content solely for your own personal use and internal business operations during your active membership or authorized access period.
11.3 Restrictions. Except as expressly allowed by these Terms or written permission from MVC, you may not reproduce, distribute, publicly display, publicly perform, sell, resell, rent, lease, sublicense, share, publish, create derivative works from, train models on, or commercially exploit MVC content or the Services. You may not remove proprietary notices.
11.4 Feedback. If you send us ideas, suggestions, corrections, or feedback, you grant MVC a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
12. Community, Office Hours, AI Genius, Events, and Summit
12.1 Community spaces. Community channels, office hours, group calls, WhatsApp groups, event chats, and other shared spaces are not confidential. Do not share information you do not want other participants, platform providers, or MVC to see. We may moderate, remove, or restrict participation at our discretion.
12.2 Conduct. You must treat members, speakers, staff, contractors, guests, and vendors respectfully. We may remove you from any community space, event, office hour, AI Genius session, or Summit activity for behavior we consider inappropriate, unsafe, disruptive, unlawful, or inconsistent with the Services.
12.3 AI Genius and office hours. AI Genius sessions, office hours, and similar live support are educational, not professional advice. Availability, scheduling windows, credits, cancellation rules, hosts, format, and topics may change. We do not guarantee that a particular person, outcome, answer, or solution will be available. Missed sessions, late arrivals, technical failures, or scheduling conflicts may result in forfeited access unless we choose otherwise.
12.4 Third-party platforms. Live and community features may use third-party platforms such as Cal.com, Zoom, WhatsApp/Meta, Luma, email providers, or other tools. Your use of those platforms is subject to their terms and privacy policies. We are not responsible for their acts, omissions, availability, security, recordings, moderation, account decisions, or data practices.
12.5 Recordings, photos, and publicity. Events, office hours, group calls, webinars, workshops, and Summit sessions may be recorded, photographed, transcribed, summarized, or livestreamed. Where practical, we will provide notice at or before the start of recorded sessions. By attending or participating, you consent to MVC recording your name, voice, image, likeness, chat messages, questions, and participation, and to MVC using those materials for operating, replaying, documenting, improving, and promoting the Services, unless prohibited by law.
If you do not want your name, voice, image, or likeness used publicly for promotional purposes, contact support@themotherofai.com before the event or as soon as possible afterward. We will use commercially reasonable efforts to honor opt-out requests for future promotional uses where practical, but we may not be able to remove you from already-published materials, live recordings, group scenes, crowd footage, platform archives, or materials where your appearance is incidental.
12.6 Event changes and travel. Event schedules, speakers, venues, capacity, formats, platforms, access rules, and content may change. Events may be postponed, rescheduled, moved online, shortened, or canceled. MVC is not responsible for travel, lodging, transportation, meals, childcare, lost opportunities, business losses, or other expenses, even if an event changes or is canceled, except as required by applicable law or specific written event terms.
13. Disclaimers of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, MVC CONTENT, MEMBER CONTENT, DOWNLOADS, EVENTS, COMMUNITY SPACES, AI FEATURES, AI OUTPUT, PROMPTS, SKILLS, CERTIFICATES, THIRD-PARTY LINKS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
MVC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, compatibility, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, timely, secure, error-free, virus-free, accurate, complete, current, reliable, compatible with your systems, or available in any location. We do not warrant that AI output, web-search results, web-rendered content, third-party content, member content, Skills, prompts, templates, or downloads will be accurate, lawful, safe, non-infringing, confidential, useful, effective, or suitable for your needs.
No guaranteed results. The Services provide education, tools, and community. MVC does not guarantee any income, revenue, savings, profit, follower growth, sales, productivity, business result, technical result, employment result, personal result, or success. Examples, testimonials, case studies, demonstrations, and member stories are illustrative only and do not promise that you will achieve the same or similar results.
Assumption of risk. You assume all risk arising from your access to and use of the Services; your reliance on content or AI output; your use of third-party tools; your business, financial, legal, technical, and personal decisions; your participation in community spaces or events; and your downloading, uploading, using, or sharing of content, Skills, prompts, files, links, and automations.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you. In that case, warranties are limited to the minimum extent required by law.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) MVC and its members, managers, officers, employees, contractors, agents, partners, vendors, licensors, speakers, hosts, and affiliates (the "MVC Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages; lost profits; lost revenue; lost savings; lost business; lost goodwill; lost data; loss of use; substitute services; business interruption; reputational harm; personal or business decisions; or third-party platform actions, even if advised of the possibility of such damages.
(b) The MVC Parties' total aggregate liability for all claims arising out of or relating to the Services, these Terms, the Privacy Policy, or any related purchase will not exceed the greater of (i) the fees you paid to MVC for the affected Service — and, for an Academy membership, the amount you paid for the Access Term in which the event giving rise to the claim arose — or (ii) one hundred U.S. dollars (US$100).
(c) These limits apply to all claims and theories of liability, including contract, tort, negligence, strict liability, warranty, statute, equity, AI output, third-party tools, payment processing, Member Content, community interactions, events, scheduling, recordings, downloads, security incidents, downtime, and data loss.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for MVC's own fraud, willful misconduct, gross negligence where not waivable, personal injury caused by negligence where not waivable, or non-waivable statutory privacy, data-security, or consumer-protection remedies.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the MVC Parties from and against any claims, demands, actions, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your Member Content, uploads, Skills, prompts, files, links, or submissions;
- your use or misuse of the Services or third-party tools;
- your reliance on content, AI output, Skills, prompts, or downloads;
- your violation of these Terms, law, or third-party rights;
- your violation of third-party platform terms;
- your business, professional, technical, or personal decisions;
- your unauthorized sharing of credentials, content, or access links; or
- your participation in community spaces, events, office hours, or AI Genius sessions.
We may assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with us. You may not settle any claim in a way that imposes any obligation, admission, or payment on an MVC Party without our prior written consent.
16. Dispute Resolution; Binding Arbitration; Class Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
16.1 Informal resolution first. Before starting arbitration or court proceedings, you agree to email support@themotherofai.com with your name, account email, a description of the dispute, the relief requested, and enough information for us to evaluate it. The parties will attempt in good faith to resolve the dispute for at least sixty (60) days.
16.2 Binding individual arbitration. Except for the exceptions in Section 16.6, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Services, or any purchase ("Dispute") that is not resolved informally will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in Miami-Dade County, Florida, or, where the rules allow, by telephone, videoconference, or document submission. The arbitrator may award the same individual relief a court could award. Judgment on the award may be entered in any court of competent jurisdiction.
16.3 Delegation. Except as expressly stated in this Section, the arbitrator has exclusive authority to resolve threshold questions about the interpretation, applicability, enforceability, formation, scope, or validity of this arbitration agreement. A court, not the arbitrator, will decide disputes about the enforceability of the class-action waiver, representative-action waiver, public-injunctive-relief provision, and mass-arbitration procedures.
16.4 Class action, representative action, and jury waiver. YOU AND MVC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, OR MASS ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING. YOU AND MVC WAIVE ANY RIGHT TO A JURY TRIAL.
If this waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief, and only that claim or request, will be severed and proceed in court, and the rest of this Section will continue to apply.
16.5 Mass arbitration. If twenty-five (25) or more substantially similar arbitration demands are filed against MVC or related parties by or with the assistance of the same law firm, organization, coordinated group, or group of representatives, the demands will be treated as "Mass Arbitration Demands." Mass Arbitration Demands must proceed in staged batches of up to twenty-five (25) demands at a time, unless the parties agree otherwise or AAA requires a different process. While one batch is pending, filing fees and proceedings for unbatched demands are stayed to the fullest extent allowed by the arbitral forum and law. The parties will work in good faith with AAA to reduce duplicative costs and promote efficient resolution.
16.6 Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek temporary, preliminary, or permanent injunctive or equitable relief in the state or federal courts located in Miami-Dade County, Florida, to protect intellectual property, confidential information, non-public materials, platform security, source code, credentials, account access, content restrictions, payment systems, or the integrity of the Services. You consent to personal jurisdiction and venue in those courts for those purposes.
16.7 Public injunctive relief. To the extent applicable law gives you a non-waivable right to seek public injunctive relief, that request may be brought in court only after arbitration of all arbitrable claims and only to the extent required by law.
16.8 30-day opt out. You may opt out of this arbitration agreement by emailing support@themotherofai.com with the subject line "Arbitration Opt-Out" within thirty (30) days after you first accept these Terms. Include your name and account email. Opting out does not affect any other part of these Terms.
16.9 Limitations period. Where law permits the parties to agree to a shorter limitations period, any Dispute must be filed within one (1) year after it arose, or it is permanently barred. This shortened period does not apply to claims for which a shortened period is prohibited by law, including breach-of-contract claims governed by Florida Statutes Section 95.03, statutory privacy or consumer-protection claims where not waivable, and fraud claims.
16.10 Governing law. These Terms and any Dispute are governed by Florida law, without regard to conflict-of-laws rules, and by the Federal Arbitration Act for arbitration matters.
17. Suspension and Termination
17.1 By you. You may stop using the Services at any time. Academy membership is a one-time purchase that does not automatically renew; see Section 5.
17.2 By us. We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if we believe you violated these Terms, created risk or legal exposure, misused the Services, infringed rights, failed to pay, filed a chargeback, created security risk, disrupted community spaces, or used the Services in a way that could harm MVC, vendors, members, or the public. We may also terminate or discontinue Services for business, operational, legal, vendor, safety, or security reasons.
17.3 Effect. On termination, your license to use the Services ends immediately, and you must stop using MVC content and paid materials. We may delete, restrict, or preserve account data and Member Content according to our Privacy Policy and legal obligations. Termination does not entitle you to a refund except as stated in Section 6, Section 17.4, specific written purchase terms, or applicable law.
17.4 Termination without cause or discontinuation. If we terminate your paid Academy membership for convenience, or permanently discontinue the core paid Academy membership during an Access Term you already paid for, we will provide a pro-rata refund of the unused portion of that Access Term, calculated based on the number of unused calendar days remaining in your 120-day Access Term. This is your sole remedy for that termination or discontinuation.
17.5 Survival. Sections that by their nature should survive termination survive, including Sections 6.2, 7, 8, 10.2, 10.3, 10.6, 11, 12.5, 13, 14, 15, 16, 17.3, 18, and 19.
18. General
18.1 Changes to Terms. We may update these Terms from time to time. For material changes, we will provide notice by email, in the Services, or by posting an updated version with a new "Last Updated" date. Changes apply prospectively only unless you separately agree otherwise. Your continued use of the Services after updated Terms take effect means you accept them. If you do not agree, stop using the Services. A change to the price, the length of the Access Term, or core paid Academy access does not apply to a membership you have already purchased; it applies only to purchases made after the change takes effect, except where the change is required for legal, security, safety, vendor, or operational reasons.
18.2 Assignment. You may not assign or transfer these Terms, your account, or your membership without our prior written consent. We may assign these Terms, in whole or part, including in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or by operation of law.
18.3 Entire agreement. These Terms, the Privacy Policy, and any written purchase-specific terms are the entire agreement between you and MVC regarding the Services and supersede prior or contemporaneous agreements on that subject.
18.4 Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not permitted. The remaining provisions remain in effect.
18.5 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
18.6 Force majeure. We are not liable for delay, failure, interruption, or unavailability caused by events beyond our reasonable control, including acts of God, natural disasters, severe weather, public health events, war, terrorism, labor disputes, governmental action, power or internet failures, payment processor issues, AI provider issues, platform or vendor failures, cybersecurity events, or third-party outages.
18.7 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, franchise, advisory, or professional relationship between you and MVC.
18.8 No third-party beneficiaries. Except for the MVC Parties under Sections 14 and 15, there are no third-party beneficiaries.
18.9 Electronic communications. You consent to receive notices, disclosures, agreements, receipts, access-expiration notices, and other communications electronically, including by email and through the Services.
18.10 Notices. We may send notices to the email associated with your account or post notices in the Services. Legal notices to MVC must be sent to the contact information below.
